TERMS AND CONDITIONS OF SALE

By placing an order with OTS Distribution Limited, the customer (“The Buyer”) agrees to be bound by these Terms & Conditions.1. BUSINESS-TO-BUSINESS (B2B) STATUS
1.1 OTS Distribution Limited is a specialist B2B wholesaler. By placing an order, the Buyer confirms they are
purchasing goods for professional or business use.
1.2 These terms apply to business customers only and do not apply to consumer transactions.2. ORDERS AND AVAILABILITY
2.1 Minimum Order Value (MOV): Our MOV is £30.00.
2.2 Small Order Surcharge: Orders placed below the £30.00 MOV will incur a £5.00 surcharge.
2.3 Product Substitution: We reserve the right to supply a product of equal or superior quality if a specific brand is unavailable.
2.4 All orders are subject to acceptance by OTS Distribution Limited and product availability.3. TAXATION (VAT)
3.1 OTS Distribution Limited is not currently registered for VAT.
3.2 All prices quoted are final. No VAT is charged.
3.3 As no VAT is charged, the Buyer cannot reclaim VAT and we cannot provide a VAT invoice.4. PAYMENT TERMS (STRICTLY PRO-FORMA)
4.1 Payment Method: We accept payment via Bank Transfer (BACS).
4.2 Orders will only be processed and scheduled for delivery once cleared funds have been received.5. DELIVERY SCHEDULE AND FEES
5.1 Standard Delivery: Charged at £4.95 per order.
5.2 Standard delivery days are Tuesday and Thursday.
5.3 Free Delivery: Orders of £100.00 or more qualify for Free Delivery.
5.4 Orders are scheduled for the next available delivery day (Tuesday or Thursday). Same-day delivery is not
included in standard delivery and is only available via Priority Delivery.
5.5 Delivery is typically completed within 2–3 working days following payment confirmation.
5.6 Access: The Buyer must ensure clear access for delivery. If a delivery fails due to premises being closed or
inaccessible, a £7.50 re-delivery fee will apply.
5.7 Delivery times are estimates and not guaranteed.
5.8 We reserve the right to combine deliveries and optimise routes based on location and order volume.6. PRIORITY DELIVERY
6.1 A Priority Delivery Fee of £19.95 applies to all same-day or out-of-schedule delivery requests.
6.2 Orders must be paid and cleared before 11:00 AM to qualify for same-day dispatch.
6.3 Priority delivery is subject to availability and cannot be guaranteed in all cases.7. SHORTAGES, DAMAGES, AND RETURNS
7.1 The 24-Hour Rule: The Buyer must inspect goods upon delivery. Any shortages or damages must be
reported within 24 hours of receipt. After this period, goods are deemed accepted.
7.2 B2B Returns: We do not offer a "change of mind" return policy. Returns are only accepted for faulty or damaged goods.8. CHEMICAL SAFETY AND LIABILITY
8.1 All chemicals sold are for professional use only.
8.2 The Buyer is responsible for ensuring all staff are trained in safe handling and that COSHH assessments are maintained.
8.3 Safety Data Sheets (SDS) are available upon request.9. RETENTION OF TITLE
9.1 All goods remain the property of OTS Distribution Limited until payment has been received in full.
9.2 We reserve the right to refuse future orders in the event of non-payment or breach of these terms.10. LIMITATION OF LIABILITY
10.1 Our liability is limited to the value of the goods supplied.
10.2 OTS Distribution Limited is not liable for any indirect, consequential, or business losses.11. FORCE MAJEURE
11.1 OTS Distribution Limited shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to weather, traffic, supplier delays, or other unforeseen circumstances.
